Hosted Services Terms — Cyan Eclipse Technologies LLC

Version 1.0 · Effective 29 October 2026 · Cyan Eclipse Technologies LLC

Cyan Eclipse Technologies LLC ("CETech", "we") provides hosted Super Intelligence (SI) infrastructure services: hosted Model Context Protocol (MCP) servers and workspaces, the Cyan Eclipse Bazaar marketplace, metered data and witness products, and related hosted tooling (together, the "Hosted Services"). By creating a hosted account, subscribing, or connecting an agent to a Hosted Service under a paid plan, you agree to these Terms. Contact: steven@cetech.ai.

Agent-facing access mechanics (rate limits, attribution, free and metered tiers) are governed by the MCP/API Terms, which are part of these Terms for hosted endpoints. Bench and certification services are governed by the Bench Services Terms; badge display rights, if ever offered, only by a separate badge license. Neither is granted here.

1. The services, as they are

1.1 What the Hosted Services are. Hosted versions of CETech tools and marketplaces, operated by CETech on its infrastructure: we run the servers, apply updates, and keep the endpoints reachable under §5. The corresponding local/self-hosted versions, where they exist, remain available under their own licenses and are not governed by these Terms.

1.2 Evidence, never verdicts. CETech products produce evidence records — sealed receipts, verification states, witness records, and scorecards whose integrity a third party can recompute. CETech does not issue compliance determinations, legal conclusions, eligibility decisions, or fitness judgements about any person, product, or organisation. Where a product surface includes a determination-shaped field, that field is the customer's to complete under the customer's own authority; CETech supplies the evidence record beneath it and nothing more.

1.3 Scope qualifiers travel. Every verification state, scorecard, and receipt carries the scope under which it was produced (for example: local, simulator, fixture, hosted). That qualifier is part of the record. Quoting a state without its qualifier is a breach of these Terms (§9.3).

2. Accounts, agents, and mandates

2.1 Accounts. A subscription is held by one customer (a person or organisation able to enter an agreement). Account credentials and API keys are the customer's responsibility; activity under them is the customer's activity.

2.2 Agents act for principals. Hosted Services are designed for use by software agents acting on a principal's behalf. The customer is the principal for every agent it connects: an agent's calls, orders, and acceptances bind the customer exactly as the customer's own acts. A customer connecting an agent represents that the agent acts under a mandate the customer controls and can revoke.

2.3 Revocation. A customer may revoke an agent's access at any time through the account controls. Revocation stops future calls; it does not rewrite records already produced (§8).

3. Plans, fees, and billing

3.1 Plans. Hosted plans and prices are as published in the CETech price book and on the service's order pages at the time of order — currently including the hosted bundle ($49/month), Pro tier ($149/month), Governance Pack add-on (+$20/month), and Procure hosted plans ($19/month per agent, $99/month per desk, plus the $1.00 per-executed-order fee, charged only on orders that actually execute). Prices marked ESTIMATE in the price book are reset against metered cost actuals; a reset changes future billing periods only, on notice under §13.

3.2 Billing. Subscriptions bill in advance per period through our payment processor (Stripe) until cancelled. Per-call and per-order charges bill as metered. Fees are owed for services delivered; §7 states the refund posture. Taxes, where applicable, are the customer's.

3.3 What a fee never buys. No fee, at any tier, buys: a bench verdict or its alteration; removal, suppression, delay, or softening of any finding, verdict, or listing state; exclusion from any check a record's own terms place it in; or any influence over an evaluation outcome. Evaluation independence is stated in the Bench Services Terms and applies across all Hosted Services.

4. Acceptable use

The customer will not, and will not permit its agents to:

(a) disrupt, probe for vulnerabilities outside a published security policy, or attempt to exceed rate limits or access controls; (b) submit credential material, secrets, or another party's personal data the customer has no right to submit; (c) use a Hosted Service to make a determination about a person that the customer has no lawful basis to make, or to represent CETech evidence as a CETech determination (§1.2); (d) derive scores, ratings, or rankings of third parties from CETech records and publish them as CETech's, or strip a scope qualifier from any record (§1.3); (e) resell, sublicense, or syndicate hosted access or metered output except under a written license that says so (dataset and feed licenses are separate instruments); (f) use the services in violation of applicable law or a third party's rights.

Breach of this section is grounds for suspension or termination under §12, with records already produced unaffected (§8).

5. Availability — stated honestly

5.1 Posture. We operate the Hosted Services on a commercially reasonable efforts basis. We publish the service's actual operating state (including known degradations) on its status surface where one exists; a state we publish is the state you may rely on.

5.2 No uptime promise in these Terms. Unless a plan or order expressly states a service-level commitment in writing, no uptime percentage, response time, or availability window is promised. Hosted forms of tools are a convenience layer over local versions that remain available under their own licenses; an outage of a hosted form does not suspend any license in a local version.

5.3 Changes to services. We may add, change, or retire hosted features. A change that materially reduces a paid plan's stated content takes effect for that plan at the next renewal after notice under §13, and the customer may cancel before it takes effect.

6. Customer data and records

6.1 Customer data. Data the customer or its agents submit to a Hosted Service remains the customer's. We process it to operate the service, produce the records the service exists to produce, and keep the service secure.

6.2 Records the service produces. Sealed receipts, verification records, and scorecards produced by a Hosted Service are records of what the service observed and computed. They are retained under §8 and remain verifiable offline after an account closes.

6.3 No training use. Customer submissions are not used to train models, are not sold, and are not disclosed except to operate the service, comply with law, or with the customer's instruction.

6.4 Staffing and customer-supplied records. For data products that process records a customer supplies about third parties (for example staffing data products), the customer represents it has the right to supply those records for the processing the product performs, and the determination fields in any delivered pack are completed by the customer, never by CETech (§1.2).

7. Refunds and cancellation

7.1 Subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period, and the service remains available until then. 7.2 Metered charges for calls actually served are not refundable. 7.3 If we retire a paid service entirely mid-period, we refund the unused prepaid portion of that period. 7.4 Bench and certification fees are governed by the Bench Services Terms, not this section.

8. Retention

Hosted operational records follow the house retention posture adopted for the Friction Terms (2026-10-27) where they overlap, and otherwise: account and billing records — while the account is active plus 4 years; sealed receipts and verification records — permanent (they are the verifiability ledger); service delivery logs — 24 months. Deletion under this schedule never rewrites a sealed record's hash or receipt.

9. Intellectual property

9.1 CETech retains all rights in the Hosted Services, the underlying software, and the record formats. These Terms grant access, not ownership, and no license to CETech software except the access the service itself provides.

9.2 Open-source components and MIT-licensed packages keep their own licenses; nothing in these Terms narrows an MIT grant in a package that carries one.

9.3 Customer feedback may be used to improve the services without obligation. Customer content and data remain the customer's (§6.1).

10. What we warrant, and the limits — in plain terms

10.1 What CETech warrants. For every record a Hosted Service delivers: the record recomputes as stated in its verification data; its stated scope is the scope it was produced under; and it has not been edited after issuance. For paid services: the service was operated as described in §1 and §5.

10.2 What CETech does not warrant. We do not warrant that any record's underlying subject-matter claim is true; that a tool with a clean record is fit for any purpose; or that evidence we supply supports any particular determination the customer makes with it.

10.3 Limits. If something we operate gets a state, a rendering, or a recompute wrong, our responsibility is to correct the record and, for paid services, our total liability for any claim arising from the Hosted Services is capped at the amounts the claimant paid CETech for the affected service in the twelve months before the claim. We are not liable for decisions a customer makes under its own policy using our evidence, or for indirect or consequential losses. Nothing in this section limits liability that cannot be limited under applicable law.

11. Marketplace terms (Cyan Eclipse Bazaar)

11.1 Listings. A catalog listing is an intake and information surface. A listing is not a certification, not an offer of the listed product by CETech, and not a statement that the product is purchasable: purchasability exists only where an order surface says so, in so many words. CERTIFIED, BENCHED, and CHECKED are distinct states with distinct meanings, rendered as recorded; a Tier-1 screen result (CHECKED) is never rendered as a bench result.

11.2 Vendor listings. A vendor that submits or claims a listing represents the listing's factual claims (identity, version, endpoints) are accurate, and accepts that verdict and findings states about its products render as recorded under their governing instruments.

11.3 Orders. An order placed through the Bazaar is an order under the terms of the service ordered (bench orders under the Bench Services Terms; hosted plans under these Terms).

12. Suspension and termination

We may suspend access for §4 breach, non-payment, or a security risk, with notice where the risk permits. The customer may terminate at any time under §7.1. Sections 1.2, 1.3, 6, 8, 9, 10, and 14 survive termination; records already produced remain verifiable (§6.2).

13. Changes to these Terms

Revisions are versioned and dated; superseded versions stay archived. Non-material revisions apply from their stated effective date on notice. Material revisions (fees, §3.3, §8 retention, acceptable use, governing law) bind a subscriber only on affirmative click-acceptance before the subscriber's next renewal or order after the effective date; until accepted, the prior version governs that subscriber, and a subscriber who declines may cancel under §7.1. Every acceptance is recorded as a receipt (terms version, timestamp, accepting identity).

14. Governing law

These Terms are governed by the laws of the State of Florida, the state in which Cyan Eclipse Technologies LLC is organised — the baseline adopted for the Friction Terms (owner decision 2026-10-27).
