Version 1.0 · Effective 29 October 2026 · Cyan Eclipse Technologies LLC
These terms govern programmatic access to the hosted Model Context Protocol (MCP) and API endpoints operated by Cyan Eclipse Technologies LLC ("CETech"), including the Cyan Eclipse Trust MCP, the Cyan Eclipse Bazaar MCP, and The White Report MCP (free and metered surfaces). A principal that connects an agent to these endpoints accepts these terms for itself and its agent. Agent access is also subject to the Hosted Services Terms; in a conflict, the more specific text governs.
1.1 The principal — the person or organisation operating or commissioning the connecting agent — is the contracting party. An agent has no independent standing under these terms; its calls are its principal's calls (§2.2 of the Hosted Services Terms).
1.2 Connection is acceptance. The first call from a principal's agent to a metered tool, and continued use of any tool after a terms revision's effective date (§10), constitute acceptance recorded as a receipt (terms version, timestamp, calling identity where presented).
2.1 Free tools (including The White Report MCP's public read tools) are provided free of charge, without an account, for reading and agent access at the published rate limits.
2.2 Free-tier output may be quoted and built upon with attribution — "The White Report (thewhitereport.com)" for White Report content; "Cyan Eclipse Trust" / "Cyan Eclipse Bazaar" for those surfaces — and a link or record reference to the source where the medium permits.
2.3 Free does not mean unconditioned: §§4–7 apply in full to the free tier. Rate limits are part of the offer; exceeding or circumventing them is a breach, not a usage pattern.
3.1 Metered tools are priced per call as published in the CETech price book and on the endpoint's own metadata at the time of the call (currently including White Report reads at $0.01 per call, price book PC-1; verification calls at $0.05, PC-3; witness receipts at $0.50, PC-6; rates restated in endpoint metadata govern a call if a restatement ever drifts from the price book).
3.2 A served call is a chargeable call. Calls refused by name (rate limit, scope refusal, secret refusal) are not charged.
3.3 Settlement rail follows the endpoint's published state: where mainnet settlement is not yet activated for a surface, metered access runs on the rail the endpoint states (hosted account / Stripe-metered, or test-network credits) and no term here promises a rail that is not live. The White Report graded-calls ledger subscription ($150/month, price book §5) is a data subscription under §6, not a per-call tier.
3.4 Metering records (call, tool, timestamp, amount, calling identity) are retained 24 months for billing and dispute purposes and are the record in any metering dispute, subject to recompute of the underlying response hashes.
The principal will not direct or permit its agent to:
(a) exceed, evade, or distribute calls to evade published rate limits, per-identity quotas, or metering; (b) present CETech output as a compliance, legal, eligibility, or financial determination, or strip a scope qualifier from any record (§5); (c) derive and publish scores, ratings, or rankings of third parties from CETech records as though they were CETech's; (d) submit credential material or secrets to any tool, in any field — such submissions are refused whole and nothing is stored; (e) use metered output to train a competing record-verification service on the records themselves (ordinary model evaluation, retrieval, and citation are not within this bar); (f) misrepresent the agent's principal or mandate where the endpoint asks for identity.
5.1 Endpoint output is evidence records and editorial content, with the scope under which each record was produced attached to the record itself. Evidence, never verdicts: no output of any CETech endpoint is a determination about any person, product, or organisation.
5.2 No signals. The White Report's calls are editorial content — dated, falsifiable, publicly graded after the fact. They are not investment signals, not advice, and not a promise about future results, and no CETech endpoint sells, licenses, or characterises them as signals. A premium signals product does not exist on these endpoints and is not offered under these terms in any tier.
5.3 Verification states mean exactly what their definitions state (recompute integrity + identity binding, per the governing service terms) — no endpoint output warrants the truth of an underlying claim.
6.1 Datasets and ledgers (including the graded-calls ledger and verdict feeds under their own price-book rows) are licensed for the subscriber's internal use during the subscription. Redistribution, republication, or resale requires the commercial redistribution license for that dataset where one is offered (for example Test Bench scorecards, $1,200/year, price book §5); where none is offered, none is granted.
6.2 On subscription end, the subscriber deletes delivered dataset material except records it must retain by law and citations already recorded in its own records, retained as historical records only.
Endpoints are operated under the availability posture of the Hosted Services Terms §5 — honest published state, no uptime promise unless an order states one in writing. Tool schemas are versioned; a breaking schema change ships as a new version, and the prior version's retirement is announced on the endpoint's metadata at least 30 days ahead where the surface is metered.
We may suspend a calling identity for §4 breach, non-payment, or a security risk, with the refusal named and receipted where the surface supports receipts. Suspension stops future calls; records already served remain what they were.
Liability posture mirrors the Hosted Services Terms §10.3 (correction of record as the primary remedy; cap at amounts paid for the affected service in the prior twelve months — for free-tier use, the cap is the greater of amounts paid or USD 100). Governing law Florida (baseline adopted 2026-10-27).
Versioned, dated, archived. A material revision (fees, §4, §6, governing law) binds a metered principal on its first metered call after the effective date, which the endpoint's metadata announces at least 14 days ahead; free-tier revisions apply from their effective date on metadata notice. Acceptance receipts per §1.2.
